FRIENDS OF THE DECATUR PUBLIC LIBRARY
Bylaws

 

ARTICLE I – NAME

The name of the association shall be The Friends of the Decatur Public Library.

 

ARTICLE II – PURPOSE

The purpose of the association shall be to create and stimulate public support of library programs, interpret the library to the community, encourage gifts to the library, and provide financial support beyond the library budget capacity.

 

ARTICLE III – MEMBERSHIP

Membership shall be open to any individual, business or organization interested in the objectives of the Friends upon payment of annual dues set by the board.

Each member over the age of eighteen shall be entitled to vote, hold office, and serve on the various committees.

Dues shall be payable September first each year.

 

ARTICLE IV – OFFICERS

The officers shall be a president, a vice-president, who shall serve as president-elect, a secretary, a treasurer, and the past president.

Officers shall serve a one-year term, beginning September first, and may be elected to an additional one-year term.

The board of directors may fill any vacancy occurring among the officers until the next election.

 

ARTICLE V – BOARD OF DIRECTORS (EXECUTIVE COMMITTEE)

The business, property, and affairs of this association shall be managed by a board of directors.

The board of directors shall consist of the officers plus four directors.

Directors shall serve for a term of two years, with one-half elected each year. Directors may be re-elected for an additional two-year term.

The library director and the president of the library board shall serve in an advisory capacity to the board of directors.

There shall be at least four meetings of the board of directors annually.

A quorum shall consist of at least one-half of the members of the board.

 

ARTICLE VI – MEETINGS

An annual meeting of the membership shall be held on the first Monday in May. Business to be conducted at this meeting shall include election of officers.

ARTICLE VII – COMMITTEES

The president shall appoint a chair for each of the following standing committees:

Membership

Program

Publicity

Book Sale

Special Projects

 

ARTICLE VIII – NOMINATING COMMITTEE

The nominating committee shall consist of a chair and two members appointed by the board.

The nominating committee shall submit a slate of officers and board members at the annual meeting.

Nominations may be made from the floor, providing consent of the nominee has been secured.

 

ARTICLE IX – FUNDS

All funds shall be invested in the name of, or deposited to the account of, Friends of the Decatur Public Library, and shall be distributed by the treasurer or president as authorized by the board of directors. If the Friends association is dissolved, all assets will become the property of the Decatur Public Library.

 

ARTICLE X – PARLIAMENTARY AUTHORITY

All rules contained in the current Robert’s Rules of Order shall govern the Friends in all matters in which they are not inconsistent with these By-laws of any special rules of order the Friends may adopt.

 

ARTICLE XI – AMENDMENTS

Amendments can be enacted at any Annual Meeting of the association, by a two-thirds vote of the members present.
